To me, the major difference between the two is the nature of the two villains.  In one story, we have Montresor who has an actual reason (although we are not told what it is) to hate his quarry.  He says that Fortunato is his enemy and that is why he must die.  By contrast, Zaroff has nothing against Rainsford.  Rainsford is a random victim and Zaroff even tries to get him to join him in his depraved game.


A second difference is the role of the intended victim.  Fortunato does not fight against his fate.  He has no idea what is going to happen to him until it is too late.  By contrast, Rainsford knows what the "game" is about and he has a chance to fight for his life.  This makes it a more suspenseful story, in my opinion.
